About the Role:
We are looking for a highly seasoned and meticulous Company Secretary to lead our secretarial and corporate governance functions. Reporting to the VP - Finance, you will be responsible for ensuring that MoEngage and its global subsidiaries operate within the highest standards of corporate governance and regulatory compliance.
As a key custodian of the company’s statutory integrity, you will manage board relations, oversee global entity management, and lead secretarial activities related to fundraising, ESOP management, and cross-border transactions. The ideal candidate is a strategic thinker with deep expertise in the Companies Act, FEMA, and international compliance, capable of navigating the complexities of a high-growth, VC-backed SaaS organization.
Roles and Responsibilities:
1. Corporate Governance & Board Management:

Organize and facilitate Board of Directors and Committee meetings, including preparation of agendas, high-quality board packs, and drafting of minutes.

Act as a strategic advisor to the Board and Senior Management on duties, responsibilities, and best practices in corporate governance.

Ensure the company adheres to its Articles of Association, Shareholders' Agreements (SHA), and statutory requirements.
2. Statutory Compliance & Filings:

Manage all secretarial records and statutory registers as per the Companies Act, 2013 and other applicable laws.

Ensure timely filing of all annual returns, forms, and statutory disclosures with the Registrar of Companies (ROC) and other regulatory bodies.

Oversee the end-to-end secretarial audit process and ensure the rectification of any gaps identified.
3. Global Entity Management:

Coordinate with global consultants to ensure secretarial and local regulatory compliance for MoEngage’s subsidiaries across 15+ countries (US, UK, SE Asia, MEA, etc.).

Manage the incorporation of new entities and handle the dissolution or restructuring of existing global entities as required.
4. Fundraising, M&A, and Investor Relations:

Lead the secretarial due diligence process during funding rounds, debt financing, or M&A activities.

Manage the capitalization table (Cap Table) and oversee the end-to-end administration of the Employee Stock Option Plan (ESOP) portal and documentation.

Ensure compliance with FEMA and RBI regulations regarding FDI, ODI, and reporting of foreign inward/outward remittances.
5. Legal & Regulatory Advisory:

Liaise with external legal counsels, auditors, and regulators to ensure the company’s interests are protected.

Stay updated on evolving corporate laws and regulatory changes in the tech/SaaS space, providing impact assessments to the leadership team.

Draft, review, and vet various corporate documents, including share certificates, transfer deeds, and indemnity bonds.
Requirements:
Education: Bachelor’s degree in Law or Commerce.
Professional Certification: Must be a qualified Company Secretary (ACS/FCS) and a member of the Institute of Company Secretaries of India (ICSI).
Experience: A minimum of 10 - 12 years of post-qualification experience, ideally with a mix of reputable law firms and high-growth, venture-backed technology companies.
Leadership & Communication:
High level of integrity and the ability to handle confidential information with discretion.
Exceptional drafting skills with high attention to detail.
Strong interpersonal skills to interact effectively with Board Members, Investors, and Global Department Heads.
